By accessing, creating an account, provisioning workspaces, or utilizing any component of the VizionSA Business Growth Intelligence System (BGIS), you ("Client", "Tenant", or "User") enter into a legally binding agreement governed by these Terms of Service. BGIS is an integrated revenue architecture connecting Meta Ads Manager, WhatsApp Business Cloud APIs, and client-dedicated operational databases.
The representative creating the BGIS account represents and warrants that they possess full legal authority to bind their commercial organization. If you do not accept these terms in their entirety, you must immediately terminate account setup and cease all interaction with the platform.
VizionSA delivers BGIS across three standardized production tiers: Foundation (R3,499/month), Intelligence (R5,999/month), and Growth (R9,999/month), alongside tailored Custom Enterprise Engineering scopes. Each tier grants specific feature access, automated data pipelines, reporting frequency, and operational capabilities as defined in the official Capability Specification.
Upon subscription confirmation, tenant environments and dedicated workspace schemas are provisioned automatically. Custom workflow automations, third-party webhook routing, and bespoke reporting views are delivered in accordance with the agreed technical specifications and operational onboarding milestones.
The functionality of BGIS relies directly on external enterprise platforms, including Meta Platforms Ireland Ltd (Meta Graph API & Marketing API), WhatsApp LLC (WhatsApp Business Cloud API), Paystack Payments Pty Ltd, and Bob Group (Pty) Ltd (Bob Go logistics). Continued operation requires that your business maintains compliant accounts and valid verification status with each respective provider.
VizionSA is not liable for service interruptions, delivery delays, template rejections, API deprecations, rate-limiting, or suspension of business assets resulting from policy enforcements, algorithm changes, or upstream outages by Meta, WhatsApp, Paystack, or Bob Go.
Subscription fees for VizionSA BGIS are billed in South African Rand (ZAR) on a recurring 30-day billing cycle in advance. Subscriptions renew automatically unless cancelled prior to the renewal date. Failure to process monthly subscription payments after the 3-day grace window will trigger temporary suspension of automated pipelines until rectified.
All end-customer commercial transactions routed through BGIS (including WhatsApp conversational orders and catalog purchases) settle 100% directly into your verified South African merchant bank account via your Paystack dedicated subaccount. VizionSA never holds, intermediates, or extracts commission from your customer revenue.
Due to the immediate provisioning of dedicated cloud database schemas, automated webhook infrastructure, and server-side pipeline deployment, VizionSA maintains a clear and transparent policy regarding refunds:
Non-Refundable Engineering & Setup: All subscription fees, onboarding configurations, and custom engineering retainers are non-refundable once an active billing cycle has commenced or workspace provisioning has executed.
Third-Party Direct Costs: All third-party costs—including Meta advertisement expenditures, WhatsApp Cloud API per-conversation message fees, Paystack gateway charges, and Bob Go courier deliveries—are billed directly by their respective providers and are strictly non-refundable by VizionSA.
Cancellations & Billing Expiry: Subscriptions may be cancelled at any time prior to the next renewal date. Upon cancellation, your workspace remains fully operational until the end of the paid billing cycle, after which automated syncs cease. No pro-rata refunds are issued for partial billing periods.
The Client retains 100% exclusive legal title and intellectual ownership over all business data, customer profiles, WhatsApp conversation logs, order details, and sales telemetry processed through the BGIS platform. VizionSA claims no proprietary rights over Client records.
BGIS utilizes strict multi-tenant row-level database security and server-side identity validation, ensuring that data belonging to one tenant is cryptographically and architecturally segregated from all other tenants. All personal data processing strictly adheres to the Protection of Personal Information Act (POPIA, Act 4 of 2013).
BGIS is provided on an "as-is" and "as-available" basis. While VizionSA strives for 99.9% platform availability across core services, we disclaim all implied warranties, including merchantability, fitness for a particular business purpose, and uninterrupted system uptime.
To the maximum extent permitted by South African law, VizionSA (Pty) Ltd, its directors, and technical affiliates shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, commercial interruption, or loss of marketing data. In no event shall VizionSA's total cumulative liability exceed the total subscription fees actually paid by the Client in the three (3) months preceding the event giving rise to the claim.
Either party may terminate this agreement at the conclusion of any active billing cycle by providing written notice or selecting cancellation within the BGIS Client Portal. VizionSA reserves the right to immediately suspend or terminate access in the event of material breach, unlawful marketing conduct, or violation of Meta/WhatsApp commerce standards.
Upon termination, the Client will be granted a 14-day data export window to download all stored lead rosters, order archives, and operational logs, after which tenant databases and webhook configurations are permanently purged.
These Terms of Service and any dispute arising out of or related to the BGIS platform shall be governed by and construed in accordance with the substantive laws of the Republic of South Africa. The parties irrevocably consent to the non-exclusive jurisdiction of the High Court of South Africa (Gauteng Local Division, Johannesburg) or the Arbitration Foundation of Southern Africa (AFSA) for expedited commercial resolution.
